By completing a purchase or accessing our digital products, you ("Client," "User," "you") agree to be bound by these Terms and Conditions in full. Nature of Digital Products and Services Thrive West LLC offers a range of digital products including, but not limited to, self-paced courses, workbooks, downloadable PDFs, guided audio content, worksheets, and psycho-educational materials ("Digital Products"). You acknowledge and agree that: Digital Products are psycho-educational and informational in nature only. Digital Products do not constitute the practice of psychotherapy, counseling, mental health treatment, medical advice, or clinical services of any kind. Purchase or use of a Digital Product does not establish a therapist-client relationship, a licensed professional relationship, or any duty of care under applicable mental health statutes. Digital Products are not a substitute for individualized mental health treatment, psychiatric care, crisis services, or any other professional clinical care. If you are experiencing a mental health crisis, active suicidal ideation, or an emergency, please contact 988 (Suicide and Crisis Lifeline), 911, or go to your nearest emergency room immediately. 2. No Therapist-Client Relationship Use of our Digital Products does not create a therapist-client relationship between you and Thrive West LLC, Elizabeth Gentzkow, LPC, or any associated clinician. The protections, duties, and obligations associated with a professional therapeutic relationship do not apply to digital product purchases. If you are seeking mental health services, we encourage you to consult with a licensed mental health professional. Not a Crisis Service Thrive West LLC digital products are not monitored in real time and are not appropriate for use during a mental health crisis. We do not provide emergency services. By using our Digital Products, you acknowledge that you will contact appropriate emergency or crisis resources if you are in distress. 4. Disclaimer of Warranties and Limitation of Liability To the fullest extent permitted by applicable law: All Digital Products are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Thrive West LLC does not warrant that Digital Products will meet your specific mental health needs, produce particular outcomes, or be suitable for your individual circumstances. Thrive West LLC, Elizabeth Gentzkow, and any affiliated individuals shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your use of or inability to use our Digital Products, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising from your use of Digital Products shall not exceed the amount you paid for the specific Digital Product giving rise to the claim. Some jurisdictions do not allow certain limitations on liability. In those jurisdictions, our liability is limited to the greatest extent permitted by law. 5. Assumption of Risk and Personal Responsibility By purchasing and using our Digital Products, you acknowledge and agree that: You are solely responsible for how you apply or implement any information, exercises, or practices contained in the Digital Products. Mental health content may bring up difficult emotions or memories. You are responsible for your own wellbeing and agree to seek appropriate professional support if needed. You will not use our Digital Products as a replacement for professional mental health care, psychiatric medication management, or crisis intervention. You have the right to stop using any Digital Product at any time if it does not feel appropriate or safe for you. 6. Intellectual Property and Copyright All Digital Products and their contents -- including but not limited to text, images, graphics, frameworks, worksheets, audio recordings, video content, course materials, templates, and proprietary clinical models -- are the exclusive intellectual property of Thrive West LLC and Elizabeth Gentzkow, LPC, and are protected under applicable United States copyright law (17 U.S.C. Section 101 et seq.) and applicable international copyright treaties. 6.1 Permitted Personal Use. Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Digital Product for your own personal, non-commercial use only. 6.2 Prohibited Uses. Unless you have obtained explicit prior written authorization from Thrive West LLC, you may not: Reproduce, copy, distribute, sell, resell, sublicense, or otherwise transfer any Digital Product or portion thereof to any third party. Share login credentials, course access links, or downloadable files with individuals who have not purchased the product. Modify, adapt, translate, create derivative works from, or incorporate any portion of a Digital Product into other materials. Use any Digital Product or its contents for commercial purposes, including teaching, training, facilitation, or client work, without a written licensing agreement. Remove, alter, or obscure any copyright, trademark, or proprietary rights notices from any Digital Product. Upload, post, or otherwise make any Digital Product available on any platform, website, social media channel, or file-sharing service. 6.3 Licensing for Professional Use. Mental health professionals, coaches, consultants, trainers, or organizations wishing to use our Digital Products or frameworks for professional, educational, or commercial purposes must obtain a written licensing agreement prior to any such use. Please contact us at the contact information below to inquire about licensing. 6.4 DMCA Compliance. We take copyright infringement seriously. If you believe your copyrighted material has been used in any of our Digital Products without authorization, please contact us at the information below. We will investigate and respond promptly in accordance with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. Section 512. 6.5 Enforcement. Unauthorized reproduction, distribution, or use of our Digital Products may result in revocation of your access without refund, civil liability for damages, and/or referral for federal copyright enforcement. We reserve the right to pursue all remedies available at law and in equity. 7. Payment and Refund Policy 7.1 Payment. All purchases are processed at the time of transaction. Prices are listed in U.S. dollars and are subject to change without notice. 7.2 Refunds. Due to the digital and immediately accessible nature of our products, all sales are generally final. We do not offer refunds after a Digital Product has been accessed or downloaded. If you experience a technical issue that prevents access to a purchased product, please contact us within 7 days of purchase and we will work to resolve the issue or provide a credit at our discretion. 7.3 Chargebacks. If you initiate a chargeback or payment dispute for a Digital Product you have accessed, we reserve the right to revoke your access and provide documentation of your purchase and access to your financial institution. 8. Access and Technical Requirements You are responsible for ensuring that your device, internet connection, and software meet the technical requirements necessary to access our Digital Products. We are not liable for inability to access Digital Products due to your technical environment, internet connectivity, or device compatibility. We reserve the right to update, modify, or discontinue any Digital Product at any time without notice. We will make reasonable efforts to notify purchasers of material changes to products they have purchased. 9. Privacy Your use of our Digital Products is also governed by our Privacy Policy, available at www.thrivingwest.com. We are committed to protecting your personal information and complying with applicable privacy laws, including HIPAA where applicable to our clinical practice. Note: Digital product purchases are transactional and are not covered by HIPAA unless you are also an active clinical client of Thrive West LLC. Purchase records may be retained for tax and business compliance purposes. 10. Mandatory Reporting and Limits of Confidentiality To the extent that Thrive West LLC receives any communication through a digital product platform that suggests imminent risk of harm to yourself or others, we reserve the right to take appropriate action, including contacting emergency services, consistent with our ethical and legal obligations as licensed mental health professionals in the State of Oregon. By using our Digital Products, you acknowledge this limitation. 11. Governing Law and Dispute Resolution These Terms and Conditions are governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. You agree that any dispute arising from or relating to these Terms and Conditions or our Digital Products shall first be submitted to good-faith mediation before any litigation is pursued. Any litigation shall be brought exclusively in the courts of Clackamas County, Oregon. 12. Severability If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect. 13. Changes to These Terms We reserve the right to update or modify these Terms and Conditions at any time. Material changes will be communicated by posting the updated Terms on our website with a revised effective date. Your continued use of or access to Digital Products following any changes constitutes acceptance of the revised Terms. 14. Entire Agreement These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Thrive West LLC with respect to your use of our Digital Products and supersede all prior communications, representations, or agreements relating to the same. 15.
